1. GENERAL TERMS AND CONDITIONS

Ride Mobile, Inc. (“RIDE”) is a wireless data service provider which offers data connection to your smartphone, tablet, computer and/or connected device in areas not covered by your Primary Carrier. RIDE utilizes a multi-network capability that can detect a usable cellular signal, whether in your country or traveling within certain countries other than your Home country. Data service is provided by licensed Mobile Network Operators which RIDE then offers its end users, including its affiliates, assigns, agents, and distribution partners (“RIDE,” “we” “us” or “our”). 

These Terms and Conditions (“T&Cs”) are part of your service agreement with RIDE and constitute a contract under which we provide Data Service to you (also referred to as the “Customer”). Your Service agreement (“Agreement” or “Services Agreement”) with RIDE includes (i) these T&Cs, (ii) our Privacy Policy located at ridemobile.com/privacy-policy, (iii) our Acceptable Use Policy located at ridemobile.com/acceptable-use-policy, (iv) any subscriber agreement or transaction materials that you sign or accept, (v) the service plan(s) that you choose as set forth in our written services and transaction materials that we provide or refer you to during the sales transaction (if your service plan is not specifically set forth in any printed materials, the requirements and terms set forth in the current written services and transaction materials apply, excluding plan charges and number of minutes included in your service plan), (vii) any confirmation materials that we may provide to you, and (viii) any other marketing or other promotions, as well as supplemental terms and conditions that we provide or otherwise make available to you. In the event of a conflict between these T&Cs and any other materials that makeup the Agreement, these T&Cs shall govern to the extent necessary to resolve the conflict.

Please read these T&Cs carefully. They cover important information about our services provided to you (the “Services”); your phone, handset, device, SIM card, embedded SIM (“eSIM”), data card, or other equipment or third-party device used with our Services (“Device”); and any access and usage charges, taxes, fees, assessments, and other charges we bill you or that were accepted or processed through your Device (“Charges”). By using RIDE’s Services, you acknowledge that (1) you have read, understood, accept, and agree to be bound by the most recent version of these T&Cs, and (2) you are age 18 or older or possess legal parental or guardian consent for ordering and use of the Services. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE, OR CEASE YOUR USE OF, THE RIDE SERVICES. BY CONTINUING TO USE THE SERVICES, YOU ARE CONFIRMING YOUR CONSENT AND AGREEMENT TO BE BOUND BY THE MOST RECENT T&Cs. These T&Cs include important terms regarding service plan changes and payments, limitations of liability, privacy, and resolution of disputes by arbitration instead of in court.

2. DESCRIPTION OF SERVICES

2.1. SIM and eSIM SALES

RIDE offers prepaid SIMs and eSIMs (also used collectively as “SIM Kit”) for mobile data. The Customer registers and buys its SIM Kit on the www.ridemobile.com website and/or the RIDE App. Payments are operated by Stripe (https://stripe.com) with an alias of your credit card (virtual Credit Card Imprint).

2.2. REGISTRATION FOR USING RIDE SERVICES

The Customer must accept these T&Cs to use the RIDE Services. The Customer gives directly, or by the intermediary of the service provider (Hotel, Travel Agency and so forth), on the Ride Mobile App or Ride Mobile Web site following information: First Name, Last Name, Billing address, Mobile Number and Email address.

2.3. CUSTOMER ENGAGEMENTS

In using the Services, the Customer must not engage in any action that is abusive, illegal, or fraudulent or that causes the Network to be impaired or damaged. You may not resell, duplicate, or reproduce, or exploit any part of the Services without the written prior consent of RIDE. Examples of prohibited uses can be found in these T&Cs and in RIDE’s Acceptable Use Policy. If a Customer is in breach of its obligations under this Section 2.3, RIDE may suspend the Customer’s use of the Services. RIDE will notify the Customer as soon as reasonably practicable of the suspension. During any period of suspension, the Customer shall continue to pay all Charges due under this Agreement in respect of the suspended Services.

2.4. DEVICE COMPATIBILITY

It is the Customer’s responsibility to ensure that their device is eSIM compatible and network-unlocked. By checking “I have an eSIM compatible and network-unlocked device” to proceeding with the purchase, you as the Customer are representing that your Device meets these criteria. As Device compatibility may depend on the carrier and country of origin, the Customer must check the list of eSIM compatible devices provided in the FAQ’s. The eSIM compatibility list is not exhaustive, meaning that there might be newly announced eSIM compatible devices that have not yet been added.

3. START, DURATION, AND TERMINATION OF SERVICES

Your Services will operate only after: (i) you have created an account; (ii) purchased a RIDE Data Service Plan; and (iii) activated the Plan. We may offer data plans that can only be activated through the RIDE application including, but not limited to, promotions, trials and/or new features or services. Visit our website located at www.ridemobile.com for specific details. For all other RIDE Data Service Plans, expiration is subject to the terms of your plan (the “Term”). Your account may be canceled if your account balance remains at $0 for 365 days or more. To ensure uninterrupted service, you must refill or renew your plan before your data expires. Please visit our website located at www.ridemobile.com for the latest information regarding our Data Service Plans, promotions, and trial plans.

All RIDE Service Data Plans are measured on days associated with the plans purchased including for purposes of determining your data usage levels), except that 12-month plans may be measured on 30-day and/or 31-day cycles, for a maximum of 365 days total. We may offer you the opportunity to set up automatic payments through the method of payment on your account, which payments will be automatically charged at the end of your applicable billing cycle (“Auto Refill”). When you enroll in Auto Refill, automatic payments for plan fees that you incur will continue until you cancel. The recurring charge may vary if you change your plan or we change our prices, following notice to you. You may cancel Auto Renew or review your payment preferences at any time by (i) managing your account preferences via your Ride Account, or (ii) emailing our customer service department at support@ridemobile.com. You must change your Auto Renew preferences or cancel 24 hours prior to the end of your active plan for the change to go into effect. No minimum purchase is necessary to enroll in Auto Renew. For disputed charges, see Section 6.1.1. You agree to provide us with accurate and complete billing information and to immediately report to us all changes to your billing information.

Data Usage and Messaging. For your RIDE Data Plan, usage is rounded up to the next full kilobyte increment at the end of each data session. Your Data Plan includes, among other things, browsing, social network access, music, video, podcasts, messaging, email, web-based calling or video conferences and smartphone apps. All data purchased through a RIDE Data Service Plan (including data that comes with a particular RIDE Service plan and any additional data you purchase), will expire immediately upon termination of your RIDE Service plan for any reason.

Prohibited Uses 

Your Data Plan is intended for uses described above. Other uses, including, for example, using your Device as a modem or tethering your Device to a personal computer or other hardware, may be permitted under your Data Plan, but are also subject to our Acceptable Use Policy located at Ridemobile.com/acceptable-use-policy. Examples of prohibited uses can be found in these T&Cs and in our Acceptable Use Policy.

Data Usage Plan Limit 

Network access requires a capable device and eSIM and/or SIM within an appropriate coverage area. Actual availability, speed, and coverage may vary. Our network supplier(s) measure your upload and download data usage (“Actual Usage”) to determine if your total Actual Usage exceeds the Usage Level for the RIDE Service Plan you selected, at which point you may be unable to send and receive data over the RIDE network until the end of the applicable time period. Partial megabytes are rounded up. Please note that “Actual Usage” includes all of your requests to upload or download data, whether or not such data is actually uploaded or downloaded. For example, if you request that an image be downloaded to your Device or your mobile hotspot (tethering) but travel outside of your network coverage area before the download is complete, such request will be included in your Actual Usage even though the image was never fully downloaded to your Device. Certain data-intensive activities including online gaming, file downloads/uploads, and video streaming, may be limited and/or inaccessible when in areas of marginal coverage. For all Service plans, RIDE’s network supplier may also reduce speeds during times of network congestion. Once you refresh your Data Plan and/or begin a Data Service plan, your Service plan Usage Level will be reset and your upload and download speeds will be restored, subject to all limitations listed in these T&Cs. Please be aware that your Plans Data Limit is much more likely to deplete your RIDE Service Plan Usage Data limit If you use streaming video, a mobile hotspot (tethering), or if you download significant quantities of music files, videos, software applications, or engage in other high-bandwidth activities.

Protective Measures 

To minimize capacity issues and degradation in network performance, Mobile Network Operators providing connectivity to RIDE and our Customers may take measures including temporarily reducing data throughput for customers who use a disproportionate amount of bandwidth. If you use your Data Plan in a manner that could interfere with other Customers’ service, affect the underlying service provider ability to allocate network capacity among customers, or degrade service quality for other end users, our network supplier may suspend, terminate, or restrict your data session, prioritize on-Device over a personal hotspot (tethering) traffic, or take other acceptable measures by industry standards and practices to manage their networks. We or our network supplier also manage the network to facilitate the proper functioning of services that require consistent high speeds, such as video calling, which may, particularly at times and in areas of network congestion, result in reduced speeds for other services. Additionally, our network supplier may implement other network management practices, such as caching less data, using less capacity, sizing video more appropriately for a Device to transmit data files more efficiently, and deploying streaming video optimization technology. These practices operate without regard to the content itself or the source of the content, and do not discriminate against offerings that might compete against those offered by us based on such competition.

4. CHARGES AND PAYMENT

4.1. PAYMENT CONDITIONS

The payment of RIDE Services is made by Credit Card, Debit Card, or Apple Pay. The currency of payment is US Dollars ($). The credit card transaction will be processed and secured by RIDE providers via Stripe (https://stripe.com).

4.2. CHARGES FOR USE

4.2.1. RIDE states all Charges inclusive of taxes, VAT, fees or other regulatory or government prescribed fees, unless specified otherwise.

4.2.2. The Customer shall not be entitled to set off any of its claims against claims of RIDE, except where the Customer’s claims are undisputed or have been confirmed by final court judgment. 

5. DELIVERY 

The Customer will immediately see the purchased eSIM and/or SIM under the ”Manage Plans” section of My Account on the App. The Customer will receive a confirmation email after the purchase. All the information for installing the eSIM will be available only on the user’s RIDE account.

6. REFUND / REPLACEMENT / MODIFICATION POLICY

The Customer has the right to ask for a replacement if the eSIM cannot be installed and activated due to a technical problem originating from RIDE.

6.1. REFUNDS AND CANCELLATION

6.1.1. POLICIES AND GUIDELINES

6.1.2. A refund request can be made within thirty (30) days from the date of purchase if activation is not feasible following extensive troubleshooting.

6.1.3. Cooperation of the Customer to resolve the issue promptly is extremely necessary as otherwise, the refund may not be granted.

6.1.4. Each data package has its own validity period. No refunds of any form will be offered for any remaining unused data when the validity period expires.

6.1.5. Compensation: No refunds or remuneration of any kind will be issued due to charges from alternate phones, alternate SIM cards, hotel phones, or other charges that are not directly linked to the Customer’s RIDE eSIM account as used on the RIDE-enabled handset or device. 

6.1.6. Fraudulent purchases: RIDE reserves the right to refuse any form of refund if there is any evidence of abuse, violation of our terms and conditions, or any fraudulent activities that relate to using RIDE products and services.

6.1.6.1. Unauthorized purchases: The case will be subject to investigation and approval before processing any refund. RIDE reserves the right to suspend any account associated with any form of fraudulent activity.

6.1.7. Accidental purchases: Once a Customer installs the eSIM, it will be considered as used. No refunds of any form will be offered.

6.1.8. Incorrect charges: If a Customer reasonably and in good faith disputes an invoice or part of it, the Customer shall notify RIDE of such dispute within 14 calendar days of receipt of the invoice, providing details of why the invoiced amount is incorrect and, if possible, how much the customer believes is due. (See details in section 4.2 CHARGES FOR USE under these T&CS.)

6.1.9. Replacements: eSIMs purchased in whole or in part with any valid coupon, promotion or voucher can be replaced only within 30 days from the date of purchase.

6.1.10 Other Reasons: If the refund request is not within the above, we will investigate the request on a case-by-case basis. If the refund is approved, a processing fee may apply. The maximum refund of credit a Customer can apply for must be equal to or less than the total amount they paid.

6.2. REFUND PROCESS

To request a refund, contact RIDE support team via the Contact Us page or send a message to support@ridemobile.com. Please be aware that our refund policy above will apply. Depending on the nature of the issue, Customers may be asked for further information to support their refund request, such as screenshots of the device settings for technical issues or details of why the invoiced amount is incorrect and, if possible, how much the Customer considers is due, etc. Customers will have the option to credit back through their original payment method (credit card) or as a credit to their account(s). Refund to the original method: Once a refund is approved and issued, it can take 5-10 business days to appear on the statement depending on the bank.

6.3. MODIFICATION

The eSIM and SIM data packages from RIDE are offered as-is. No further modifications or customization can be made based on individual requests once purchased.

7. RIDE MOBILE REWARDS PROGRAMS AND PROMOTIONS

The Ride Mobile Rewards Program and Promotions Terms and Conditions shall be applicable to all Ride Mobile accounts which are existing or may be opened anytime in the future. Ride Mobile may change these terms at any time, with or without notice. 8. SERVICE AVAILABILITY 

RIDE connects your phone or device to one of more than 640 Mobile Network Operators worldwide. RIDE reserves the right to connect you to available network operator(s) to meet your mobile data needs. The Actual Service area, coverage and quality may vary and change without notice depending on a variety of factors including network capacity, availability, terrain, and weather, among other factors. Outages and interruptions in Service may occur on underlying operator networks, and speed of Service varies. RIDE is not liable for outages, service interruptions or other factors affecting availability of our Service. 

9. INTELLECTUAL PROPERTY

All right, title and interest, including all intellectual property rights, in and to any Customer data transmitted using the Services shall remain the property of Customer. All right, title and interest, including all intellectual property rights, in and to the RIDE Services, including but not limited to proprietary installation software and the RIDE App, are and shall remain the property of RIDE. In consideration of these T&Cs and the Customer’s Services Agreement, including payment of Charges, RIDE grants Customer an irrevocable, fully paid-up, non-exclusive license during the Term to use the Services consistently with its rights and obligations under these T&Cs. Customer acknowledges and agrees that Customer has no ownership interest or legal right to the RIDE Services, software and related functionalities, algorithms and information, or to use of same, except and only as provided in these T&Cs and the Customer’s Services Agreement. 

10. WARRANTIES; LIMITATION OF LIABILITY

OTHER THAN AS EXPRESSLY PROVIDED IN THESE T&Cs, THE RIDE SERVICES ARE PROVIDED “AS-IS,” WITH NO EXPRESS WARRANTY OR GUARANTY. TO THE GREATEST EXTENT PERMITTED BY LAW, RIDE DISCLAIMS ALL IMPLIED OR STATUTORY WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, RIDE DOES NOT REPRESENT OR WARRANT THAT (a) USE OF THE SERVICES WILL BE SECURE, TIMELY, UNINTERRUPTED OR ERROR-FREE OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM OR DATA NOT PROVIDED BY RIDE, (b) THE SERVICES WILL MEET CUSTOMER’S REQUIREMENTS OR EXPECTATIONS, OR (c) ERRORS OR DEFECTS WILL BE CORRECTED. THE RIDE SERVICES MAY BE SUBJECT TO LIMITATIONS, DELAYS AND OTHER PROBLEMS INHERENT IN WIRELESS AND ELECTRONIC COMMUNICATIONS, AND RIDE IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES OR OTHER DAMAGES OR LIABILITIES RESULTING FROM SUCH PROBLEMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RIDE BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SERVICES, WITH DELAY OR INABILITY TO USE SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE THE SERVICES, FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE RIDE SERVICES, OR OTHERWISE ARISING OUT OF THE USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF RIDE OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.

AVAILABILITY OF CERTAIN FEATURES UPON WHICH THE RIDE DATA ROAMING SERVICE IS DESIGNED MAY BE DEPENDENT ON THE FEATURES AND/OR OPERATING SYSTEM [“OS”] INCLUDING APPLE iOS AND GOOGLE ANDROID, AS WELL AS OEM “OVERLAYS” INSTALLED ON THE DEVICE BEING USED. CHANGES OR UPDATES IN DEVICE CAPABILITIES AND/OR OS UPDATES OR OVERLAYS ARE OUTSIDE THE CONTROL OF RIDE. RIDE WILL USE ITS BEST EFFORTS TO DELIVER THE SERVICE AS DESCRIBED IN THESE T&Cs.

11. ARBITRATION

Any dispute or claim between the Parties arising out or relating in any way to these T&Cs, the Customer’s Services Agreement or to Customer’s use of or access to the RIDE Services shall be resolved exclusively through final and binding arbitration (rather than in court) under the then current commercial rules of the American Arbitration Association in San Francisco, California. Any judgment on the award rendered by the arbitrator is final and may be entered in any court of competent jurisdiction. Nothing in this these T&Cs prevents either Party from seeking injunctive or equitable relief in any court of competent jurisdiction. The prevailing Party in any arbitration or litigation is entitled to recover its reasonable attorneys’ fees and costs from the other Party. Notwithstanding the foregoing, RIDE may enforce its rights and obligations under these T&Cs and the Customer’s Services Agreement with respect to payments owed by Customer or to secure injunctive relief in the event of a threat of irreparable injury in any court of competent jurisdiction. ANY PARTY MAY BRING CLAIMS AGAINST ANOTHER PARTY ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PARTY’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, CLASS OR REPRESENTATIVE PROCEEDING

12. INDEMNIFICATION

Customer shall and hereby does indemnify, defend and hold harmless RIDE, its legal representatives, directors, shareholders, employees, agents, officers, subcontractors and network suppliers from and against any and all claims arising out of or related to (i) Customer’s failure to comply with any applicable laws, (ii) the willful misconduct or gross negligence of Customer, (iii) breach of Customer’s obligations under these T&Cs and the Customer’s Services Agreement, or (iii) failure by Customer to remain in compliance with applicable government regulations, including without limitation those regarding telemarketing, spam and Internet fraud.

13. GOVERNING LAW

These T&Cs shall be governed exclusively by the laws of the State of California, without regard to the conflicts of law provisions thereof.

14. CHANGES TO THE TERMS & CONDITIONS

RIDE reserves the right to change the provisions of these Terms & Conditions at any time. When we make changes, we will revise the last updated date at the top of the T&Cs. If there are material changes to the T&Cs, we will notify you by prominently posting a notice of such changes here, or on our home page, or by sending you an email. We encourage you to review the most recent version of these T&Cs whenever you visit one of our websites or use a RIDE application.
